Welcome to SeniorMinder. These Terms of Service ("Terms") govern your access to and use of the SeniorMinder platform, applications, and services (collectively, the "Service") provided by SeniorMinder ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Description of Service
SeniorMinder is an AI-powered safety and wellness monitoring platform designed to help seniors age in place safely. The Service includes AI-powered check-in conversations, voice analytics, caregiver alert notifications via SMS, email, and push notifications, medication and appointment reminders, and wellness reporting tools. The Service is intended to supplement, not replace, direct human caregiving, medical care, or emergency services.
2. Eligibility and Accounts
You must be at least 18 years of age to create an account or use the Service. By registering, you represent that the information you provide is accurate and complete, and you agree to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. Authorized Use and Caregiver Roles
Caregivers who register seniors on the platform represent that they have the legal authority or consent to do so on behalf of the senior. You agree to use the Service only for its intended purpose of wellness monitoring and caregiver communication, and not for any unlawful or unauthorized purpose.
4. SMS Alerts and Communications
By opting in to SMS caregiver alerts, you consent to receive recurring automated text messages from SeniorMinder at the phone number you provide. Message frequency varies based on your loved one's activity. Standard message and data rates may apply. You may opt out at any time by replying STOP. Reply HELP for assistance. Consent to receive SMS messages is not a condition of purchasing or using the Service. We will not share your mobile phone number or SMS opt-in information with third parties for promotional or marketing purposes.
5. Not a Medical Service
SeniorMinder is not a medical device, healthcare provider, or emergency response service. The Service does not provide medical diagnoses, treatment recommendations, or clinical advice. Voice analytics and wellness assessments are informational tools designed to help caregivers stay informed and are not a substitute for professional medical evaluation. In the event of a medical emergency, call 911 or your local emergency services immediately.
6. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
7. Intellectual Property
All content, features, functionality, software, and technology comprising the Service are owned by SeniorMinder and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Service without our prior written consent.
8. User Responsibilities
You agree to:
- Provide accurate and truthful information when using the Service
- Use the Service in compliance with all applicable laws and regulations
- Not interfere with or disrupt the Service or its underlying infrastructure
- Not attempt to gain unauthorized access to any portion of the Service
- Not use the Service to transmit harmful, abusive, or unlawful content
- Maintain the security of your account and promptly notify us of any unauthorized use
9. Service Availability and Modifications
We strive to maintain reliable service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes that affect your use of the Service.
10. Limitation of Liability
To the fullest extent permitted by law, SeniorMinder shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to damages for missed alerts, delayed notifications, inaccurate wellness assessments, or technology failures. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
11. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements or expectations, or that wellness assessments and voice analytics will be accurate or complete.
12. Indemnification
You agree to indemnify, defend, and hold harmless SeniorMinder, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
13. Termination
You may terminate your account at any time by contacting us at info@seniorminder.com. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases, though provisions that by their nature should survive (including limitation of liability, indemnification, and dispute resolution) will remain in effect.
14. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be governed by the laws of the State of California, without regard to conflict of law principles. You agree to submit to the personal jurisdiction of the state and federal courts located in Orange County, California for resolution of any disputes not resolved through good-faith negotiation.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website and updating the effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you should discontinue use of the Service.
